MSO Terms of Agreement 1) MSO (Morning Star Online) is an e-commerce company based in Lapu Lapu City Philippines, referred to as 'the company". People who purchase our product/s is referred to as "the customer". Product/s of MSO are guaranteed always in good quality, at an affordable price. 2) Once on order has been placed from our website, upon confirmation of order, it shall be scheduled for delivery. Please refer to our "delivery policy". Please be aware that amount received by the company is payment of the corresponding product/s being purchased, the company make it clear that is not an investment, therefore the customer expects no interest in return. 3) Some products of the company has an attached CRU (Cashback Rewards Unit) that is automatically given by the company for FREE to the customer, after the payment has been confirmed. CRU when activated shall lined up to the company's FAFA (first activated first awarded) cashback system. The CRU will mature as soon as it accumulates a total of 4,000 cashback value (PV). PV default ratio is 1 Peso per 1 PV but may vary according to the profit perfomance of the company. CRU that is not activated within 6 months shall be forfeited in favor of the company and after giving prior notice to the customer concerned. There is no fix time as to when a certain CRU will mature as it depends as to how the company is profitable. 4) CRU is not a share of stocks of the company, therefore customers are not share holders and expect nothing in terms of company ownership. CRU is a just a percentage of the company's marketing budget that is given back to the customers who might in return endorse our product/s to their friends. 5) MSO is not an MLM or a networking company, therefore all prices are the same, a customer who repeatedly purchase products directly from the company, pays the same price, no member price of anykind is given. The marketing is run however, using a customer empowerment program or simply an affiliate system. 6) Once a customer successfully created an account (for free) with the company, that customer is given a referral link that he/she can use to endorse the products to his/her friend. Once a sale is confirmed from his/her referral link, the company awards to the said customer 10% based on SRP (suggested retail price) as endorsement bonus. The said 10% endorsement bonus may changed depending on the performance of the company. Furthermore, the company shall award endorsement bonus up to 10th generation, hence called endorsement generation bonus, total percentage allocated is 15% but may vary according the company's performance in the market. The company further awards the customer, if his/her personal purchase and the personal purchase of his/her direct endorsement within a month reaches 100 packages, in that case he/she is given 1 share of the endorsement pool. If total packages reaches 200 in a month, he/she is given 2 shares and so on and so forth, 1 share for every 100 packages in a month. Pool allocation is 2% of SRP but may vary according to company's performance. 7) For whole sale purchased over 100,000 pesos worth, terms below shall apply(shall be printed and notarized): 7.1 The amount received by "the company" from the "wholesaler" is not an investment of anykind, therefore the former has no obligation to pay for an interest of anykind to the latter. The amount is paid for the purchases of products. 7.2 After confirmation of payment/s, the products shall be scheduled for release to the wholesaler, either for door to door delivery or for pick up. No products whose payment has been made shall be stored at the company's premises. 7.3 It is the sole descretion of the wholesaler to sell all the products at his own disposal, be it via online or offline retail stores. In the event that the wholesaler finds it difficult to dispose the products, the company may recommend to the wholesaler, an online reseller companies that may help him dispose the products. As to the payments and other fees, it would be at the agreement between the wholesaler and the online reseller companies, the company shall not be made liable to whatever outcome the deal (bet wholesaler and online reseller) may result to. 7.4 The wholesaler shall sell the products at SRP. However, it is to the descretion of the wholesaler to sell on promos like buy 2 take 1, buy one take one, or 50% off and soon and so forth. What is important is that all the prices must have reference to the SRP. 7.5 The products/packages purchased has a corresponding cashback rewards units (CRU). Each CRU shall only be activated once it is successfully encoded in the system. Once the CRU matures it will receive 4000 credits per CRU. A factor shall be used when it is converted to cash. Conversion factor to be used for this agreement is 1:1 and will take effect as long as this agreement remains valid. The CRU is calculated based on several factors like 1) the time each cru is activated 2) how well the company is performing in the market and 3) how effective the company in running its operation. Actual performance or status of the cru shall be seen in the dashboard of the account of the wholesaler. 7.6 Remember that CRU will not mature at the same time. As soon as an CRU matures, it would be at the discretion of the wholesaler to convert and withdraw to cash immediately or wait for others to mature. Activation of CRU is in accordance with the policy of the company. Below is the activation policy: 8.1) First time activation and activation without active CRU will be instant (without system delay) 8.2) 2nd to 5th CRU activation will follow 30 seconds delay 8.3) 6th to 10th activation shall follow 60 seconds system delay 8.4) 251th and up activation shall follow supreme system delay 8.5) However if CRU activation is not completed on the same day (until 11:59pm), the first activation on the ff day is instant and the follows 9) Delivery Policy 8.1 Within the entire Philippines, the delivery of products will be 2 to 7 days from order confirmation. It is strongly advised for customers to be attentive for text messages or calls that might come from our delivery agents. Most logistics companies, may charge RTO (return to origin) or RTS (return to sender) fees resulting from customers unable to be reached. 10) Refund Policy 10.1 Product/s purchased without CRU (cashback rewards unit/s) can returned within 30 days from the date of receipt and can be refunded 100% as long as there is still remaining content in it, however shipping fee could not be refunded. Refund shall be paid according to the method advised by the customer. Customer shall create a support ticket, send email or call the company for refund details. Customer shall send the product back to the company. Refund shall be paid within 15 days from receipt of product and after the claim is confirmed. 10.2 The company may not refund any product/s purchased if the reason is simply the customer changed his mind. 10.3 If upon receipt of product/s the customer found out that it has been damaged or that the seal has been broken, the customer may send the product back to the company for replacement within 3 days from receipt thereof. The company shall then send the replacement within 3 days upon receipt of returned items. The company shall not replace different items to the customer, what has been damaged or broken the same type of product shall be sent for replacement. 10.4 Section 1.1 above applies to product/s purchased with CRU (cashback rewards unit/s). In addition, the customer shall sign a waiver that cashback rewards unit attached to purchase of product/s shall be forfeited in favor of the company.
